1. Introduction

1.1. These Terms and Conditions (the "Terms") govern the use of services and products provided by Spring Design Limited (”Spring”), a brand and marketing agency.

1.2. By engaging our services, clients agree to abide by these Terms and any additional agreements or policies referenced herein.

2. Services

2.1. Spring offers a range of services, including but not limited to website development, marketing, branding, design, data analytics and insights.

2.2. The scope and details of services, along with associated costs, will be outlined in a separate Service Agreement.

3. Payment and Billing

3.1. Clients are responsible for paying all fees and charges associated with the services as per the agreed Service Agreement.

3.2. Payment terms, including due dates and accepted payment methods, will be specified in the Service Agreement.

4. Confidentiality

4.1. Spring agrees to keep all client information confidential and not disclose it to third parties unless required by law.

4.2. Clients agree not to disclose proprietary information shared by Spring during the engagement.

5. Intellectual Property

5.1. Any intellectual property developed during the engagement will be owned by the client upon full payment, unless otherwise specified in the Service Agreement.

6. Termination

6.1. Either party may terminate the engagement with written notice as specified in the Service Agreement.

6.2. In the event of termination, clients agree to pay for services provided up to the termination date.

7. Dispute Resolution

7.1. Any disputes arising from this engagement will be resolved through negotiation, mediation, or arbitration, as specified in the Service Agreement.

8. Limitation of Liability

8.1. Spring's liability is limited to the total fees paid by the client for the specific services in question.

9. Governing Law

9.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales

10. Amendments

10.1. Spring reserves the right to amend these Terms at any time, and clients will be notified of any changes.

11. Entire Agreement

11.1. These Terms, along with any Service Agreement, constitute the entire agreement between Spring and the client, superseding all prior agreements.
